Welcome to NeuroBid (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our platform, services, applications, and any related content provided by us (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old and have the authority to bind a company or organization to these Terms. The Service is intended for business use only, not for consumers or personal use.
2. Service Description
NeuroBid provides an AI-powered SaaS platform to help companies streamline their responses to Requests for Proposals (RFPs). We offer tools to train a custom AI agent on your business documents and automate proposal generation assistance.
3. User Accounts
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials.
You agree to notify us immediately of any unauthorized access to your account.
4. Acceptable Use
You agree not to:
- Use the Service for unlawful or harmful purposes
- Upload or share content you don’t have the legal right to use
- Attempt to reverse-engineer, hack, or interfere with the platform
- Use the AI to create misleading or deceptive proposals
We reserve the right to suspend or terminate your account for violations of these Terms.
5. Payment and Subscription
If you purchase a subscription:
- Fees are billed monthly, quarterly, or annually, as selected at checkout
- All fees are non-refundable except as required by law
- Late or failed payments may result in service suspension
We may change pricing with 30 days’ notice.
6. Intellectual Property
All platform content, including code, design, and branding, is owned or licensed by NeuroBid and protected by intellectual property laws.
You retain ownership of your uploaded content. You grant us a limited license to use that content solely for providing and improving the Service.
We do not use your data to train public AI models.
7. Confidentiality
We will treat your business documents and data as confidential. We will not share, sell, or use your data outside the scope of providing our service to you, unless required by law.
8. Termination
You may cancel your subscription at any time by emailing hi@neurobid.xyz.
We reserve the right to suspend or terminate your access if:
- You breach these Terms
- We are required to do so by law
- Your subscription expires or is unpaid
Upon termination, your access will end.
9. Disclaimers
The Service is provided “as is” and “as available.” We make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee the success of any RFP submissions created using the Service.
10. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, or consequential damages
- Our total liability will not exceed the amount you paid us in the past 12 months
Some jurisdictions do not allow these limitations, so they may not apply in full.
11. Indemnification
You agree to indemnify and hold NeuroBid harmless from any claims, damages, or losses arising from your use of the Service, including violation of these Terms or infringement of third-party rights.
12. Changes to These Terms
We may update these Terms periodically. We will notify you of material changes via email or a notice on our platform. Continued use after such changes constitutes your acceptance.
13. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any legal action must be brought in the courts located in New York.
